1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of SmartList, a Chrome extension and related services (collectively, the "Service") provided by Another Boring AI Company ("we," "us," or "our").

By creating an account, installing the extension, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

SmartList is a Chrome extension that helps Etsy sellers optimize their product listings using artificial intelligence. The Service includes AI-powered photo analysis, keyword research with real search volume data, and SEO-optimized title and description generation. SmartList operates as a side panel within the Google Chrome browser on Etsy listing editor pages.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• Each person may maintain only one account.
• We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, including for violation of these Terms.
• You must promptly notify us at support@another-boring-ai-company.com if you become aware of any unauthorized use of your account.

4. Credit System

• 1 credit = 1 listing optimization, which includes AI photo analysis, keyword research, and SEO content generation.
• New accounts receive 2 free credits upon email verification (or immediately for Google sign-in).
• Additional credits can be purchased as one-time credit packs or through monthly subscription plans.
• All credit purchases are final and non-refundable.
• Credits do not expire. Purchased and earned credits remain in your account until used.
• Credits have no monetary or cash value and cannot be exchanged, transferred, or sold to any other person or account.

5. Subscriptions and Billing

5.1 Plans and Pricing

We offer the following options:

Prices are in USD. We reserve the right to change pricing with prior notice.

5.2 Automatic Renewal

Monthly subscriptions automatically renew on the same day each month until cancelled. Upon renewal, your credit balance is increased by the plan's credit allocation.

5.3 Cancellation

• You may cancel your subscription at any time through the Stripe Customer Portal, accessible from the SmartList extension settings ("Manage Subscription").
• Cancellation takes effect at the end of your current billing period. You will not be charged for the next period.
• No partial or prorated refunds are provided for the remaining time in a billing period.
• After cancellation, your existing credits remain in your account and do not expire.

You agree to use the Service only for its intended purpose: optimizing Etsy product listings. You must not:

• Use the Service for any unlawful, fraudulent, or malicious purpose.
• Attempt to reverse-engineer, decompile, disassemble, or extract the source code of the Service.
• Circumvent, disable, or otherwise interfere with the credit system or usage limits.
• Use automated bots, scripts, scrapers, or similar tools to interact with the Service.
• Share, sell, or transfer your account or credits to another person.
• Upload or submit content that infringes on any third party's intellectual property rights.
• Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure.
• Use the Service to generate deliberately misleading, fraudulent, or deceptive listing content.
• Access the Service to build a competing product or service.

Violation of this policy may result in immediate suspension or termination of your account without refund.

8. Intellectual Property

• The SmartList name, logo, extension, website, and all original content are the property of Another Boring AI Company and are protected by applicable intellectual property laws.
• AI-generated content (titles, descriptions, and keyword suggestions) produced by the Service is provided to you under a non-exclusive, perpetual license for use in your Etsy listings.
• You retain full ownership of your product photos and any custom content you provide to the Service.
• You are solely responsible for ensuring that your published Etsy listings comply with Etsy's own policies, terms of use, and applicable laws.

10. Third-Party Services

The Service integrates with third-party services including Google (for OAuth), OpenAI and Google Gemini (for AI processing), DataForSEO (for keyword data), Stripe (for payments), and Resend (for email). Your use of these integrations is subject to the respective third-party terms and privacy policies.

• We are not responsible for the availability, accuracy, or performance of third-party services.
• Temporary outages of third-party services may affect the availability of certain features.
• Your payment transactions are processed by Stripe and are subject to Stripe's Terms of Service.

11. Limitation of Liability

Please read this section carefully.

• The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory.
• We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, sales, or business opportunities.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
• Without limiting the foregoing, we are not liable for: changes to Etsy's policies or algorithms; fluctuations in search rankings; listing performance or sales outcomes; inaccuracies in AI-generated content or keyword data; or outages of third-party services.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Another Boring AI Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you submit to or publish through the Service.

13. Termination

• We may suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users or the Service.
• You may request deletion of your account at any time by contacting support@another-boring-ai-company.com.
• Upon termination, your right to use the Service ceases immediately. Any unused credits remaining in your account at the time of termination are forfeited and are non-refundable.
• Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Dispute Resolution) shall continue in effect.

14. Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
• Informal Resolution: Before filing any formal dispute, you agree to first contact us at support@another-boring-ai-company.com and attempt to resolve the dispute informally for at least 30 days.
• Binding Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware or via online proceedings.
• Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for the protection of intellectual property rights.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service. We encourage you to review these Terms periodically.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Another Boring AI Company regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
